About These Terms

These Terms of Service ("Terms") govern your use of the ShadowSpeak iOS application, the shadowspeak.io website, and any related services (collectively, the "Service") provided by Elenchus LLC ("Elenchus," "we," "us," or "our"). By creating an account, subscribing, or otherwise using the Service, you agree to these Terms. If you do not agree, do not use the Service.

ShadowSpeak is operated by Elenchus LLC, a limited liability company registered in the State of Illinois, United States (File Number 17746634). For correspondence, please email support@shadowspeak.io.

Eligibility

You must be at least 13 years old to use the Service. If you are between 13 and the age of legal majority in your country, you may use the Service only with the involvement of a parent or legal guardian. By using the Service you represent that you meet these requirements.

Accounts and Sign-In

You sign in with Apple or Google. You are responsible for keeping your Apple ID or Google account secure. You agree not to share access to your ShadowSpeak account with others and not to create more than one account for the same person.

You can delete your account at any time from inside the app. Deletion is described further in our Privacy Policy.

The Service

ShadowSpeak is a language-practice application. The free tier lets you process up to three (3) podcast episodes per account for the lifetime of that account; recording and 4-axis ML feedback (pronunciation, chunking, stress, pitch) on those episodes are unlimited. Premium subscribers (described below) can process additional episodes up to a fair-use cap.

Subscription Terms (Auto-Renewing — Apple Guideline 3.1.2(a))

ShadowSpeak Premium is an auto-renewing subscription sold through Apple in-app purchase. The following terms apply to your purchase and renewal:

  • Title of the subscription: ShadowSpeak Premium (Monthly).
  • Length of subscription: 1 month, beginning on the date of purchase.
  • Price: US $9.99 per month, or the local equivalent in your App Store region.
  • What you get: Unlimited episode processing during the subscription period, subject to a fair-use cap of 15 newly processed episodes per calendar month. Recording and 4-axis feedback remain unlimited and free for all users at all times, including after cancellation.
  • Auto-renewal: Payment will be charged to your Apple ID at confirmation of purchase. Your subscription automatically renews each month at the same price unless auto-renew is turned off at least 24 hours before the end of the current period. Your account will be charged for renewal within 24 hours prior to the end of the current period.
  • Managing or cancelling: You can manage your subscription and turn off auto-renewal at any time in your Apple ID settings: Settings > [Your Name] > Subscriptions on your iOS device.
  • Refunds: Apple processes refunds, not Elenchus. To request a refund, use reportaproblem.apple.com. When Apple grants a refund and notifies us, we will revoke the corresponding entitlement.
  • Free-trial conversion: ShadowSpeak Premium does not offer a time-based free trial. The free tier described under "The Service" is the only free allowance.

Prices may change in the future. We will notify you of any price change before it takes effect, and you will have the opportunity to cancel before being charged the new price.

User Content (Your Recordings)

When you record audio while practicing with the Service, you retain ownership of those recordings. You grant Elenchus a non-exclusive, worldwide, royalty-free license to host, process, and analyze your recordings solely for the purpose of providing the Service to you — for example, running our ML pipeline to generate your 4-axis feedback and saving your practice history.

We do not use your recordings to train external machine-learning models, to advertise, or for any purpose unrelated to delivering the Service to you. This license ends when you delete the recording or your account, subject to the deletion timeline described in our Privacy Policy.

Podcast Content and Third-Party Material

ShadowSpeak helps you practice with publicly available podcast episodes accessed through their public RSS feeds. We do not claim ownership of those episodes. Copyright in each episode belongs to the podcast's creator or rights holder. Our processing is limited to analysis and study purposes that we believe fall within fair use or equivalent local doctrines; we do not redistribute episodes outside the Service.

If you are a podcast rights holder and would like us to stop processing your show, email support@shadowspeak.io and we will comply.

Acceptable Use

You agree not to:

  • Reverse-engineer, decompile, scrape, or otherwise attempt to extract the source code or content of the Service.
  • Use the Service to upload audio or other content you do not have the right to use, or that infringes anyone's copyright, trademark, or other rights.
  • Use the Service to harass, threaten, defame, or otherwise harm others.
  • Interfere with the Service, including by submitting automated requests, attempting to bypass the free-tier cap, or probing for vulnerabilities outside of a responsible-disclosure process.
  • Use the Service for any unlawful purpose.

We may suspend or terminate accounts that violate these rules.

Intellectual Property

All content of the Service that is not your User Content — including the application code, models, design, copy, graphics, and logos — is the property of Elenchus LLC or its licensors, and is protected by United States and international copyright, trademark, and other laws. "ShadowSpeak" is a trademark of Elenchus LLC.

Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. WE MAKE NO WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR ACCURACY. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

The 4-axis feedback is an automated learning aid. It is not a substitute for instruction from a qualified teacher, language assessment, or medical advice (for example, regarding speech therapy).

Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, ELENCHUS LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM OR RELATED TO YOUR USE OF THE SERVICE. IN NO EVENT WILL OUR TOTAL LIABILITY EXCEED THE GREATER OF (a) THE AMOUNT YOU PAID US IN THE TWELVE MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (b) US $50.

Termination

You can stop using the Service at any time and can delete your account from inside the app. We may suspend or terminate your access if you breach these Terms or if we reasonably believe your account is being used to harm others or our infrastructure. The clauses in these Terms that by their nature should survive termination (Intellectual Property, Disclaimer of Warranties, Limitation of Liability, Governing Law) will continue to apply.

Changes to These Terms

We may update these Terms from time to time. The "Last updated" date at the top of this page indicates when the Terms were most recently revised. For material changes we will notify you in the app or by email before they take effect. Continued use after a change constitutes acceptance of the revised Terms.

Governing Law and Venue

These Terms are governed by the laws of the State of Illinois, United States, without regard to its conflict-of-law principles. Any dispute arising from these Terms or your use of the Service shall be resolved exclusively in the state or federal courts located in Illinois, and you consent to personal jurisdiction in those courts.
